Riverstone

1Acceptance and eligibility

These Terms of Use (“Terms”) are an agreement between you and [Legal entity name] (“Riverstone,” “we,” “us”), which operates riverstonelendingapp.com. By using the site or submitting a loan request, you agree to these Terms and to our Privacy Policy. If you don’t agree, please don’t use the site.

To use our loan request service you must be at least 18 years old (or the age of majority where you live), a U.S. resident, and able to enter a binding contract. Our service may not be available in every state.

2Our role: we are not a lender

Riverstone is a loan marketplace, not a lender. We don’t make loans, make credit decisions, set rates or terms, or fund loans.

  • Submitting a request does not guarantee that you will receive an offer, be approved or get any particular rate, amount or term.
  • Any loan is made by the lender under the lender’s own agreement and disclosures. Review them carefully before you sign.
  • We don’t act as your agent, broker or financial adviser and don’t recommend any specific lender or product. [Confirm with counsel whether any state broker or lead-generator license applies.]

3How the service works

  1. You complete our loan request form, which is provided through a technology partner: [Form provider name].
  2. We share your request with lenders and partners in our network that may be able to serve you.
  3. Lenders that can work with you may present offers or contact you. You decide whether to continue with any lender.

Loan amounts offered through our network range from $200 to $5,000 with repayment terms of 3 to 36 months, and the maximum APR offered by lenders in our network is 35.99%. [Confirm current terms with network partners.] Rates, fees, terms and availability vary by lender and state.

5Electronic communications and E-SIGN consent

You agree to receive disclosures, notices and other communications from us electronically, by email or on the site, and agree that electronic communications satisfy any legal requirement that they be in writing. Under the federal E-SIGN Act, you may withdraw this consent and may request a paper copy of a communication by contacting us. To use the service you need a device with internet access, a current web browser and a valid email address. [Add how to withdraw consent, any paper-copy fee and how to update your email address.]

6Consent to calls and texts

Where you give it on our form, your consent to be contacted is governed by the specific consent language shown next to the submit button. That language should identify who may contact you, the phone number, the use of automated technology and prerecorded messages, and state that consent is not a condition of purchase.

Placeholder: [Insert the exact TCPA consent language used on your form, reviewed by counsel.] Under FCC rules, prior express written consent must include a clear and conspicuous disclosure that the person is not required to sign the agreement as a condition of buying any property, goods or services.

You can revoke consent at any time by replying STOP to a text, telling a caller or emailing us. Message and data rates may apply.

7Information you provide

You agree to give accurate, current and complete information and to submit requests only for yourself. Giving false information, or someone else’s information without permission, may violate the law and these Terms. You are responsible for keeping your contact details up to date.

8How we are paid

Our service is free for you. Lenders and network partners may pay us when you submit a request, when a lender makes you an offer, or when you accept one. This compensation may influence which lenders receive your request and the order in which offers appear. [Describe your compensation model.] Learn more on our About page.

9Lenders and third-party terms

Lenders and other third parties are independent of Riverstone. Their products, terms, decisions, customer service and privacy practices are their own responsibility. Any dispute about a loan is between you and the lender. If you have a problem with a lender, you can also file a complaint with the Consumer Financial Protection Bureau or your state regulator.

10Prohibited uses

You agree not to:

  • Use the site for any unlawful, fraudulent or deceptive purpose.
  • Submit false requests or impersonate another person.
  • Scrape, copy or harvest content or data by automated means without our written permission.
  • Interfere with, probe or disrupt the site, its security or its servers.
  • Use our name, content or brand to mislead others.

11Intellectual property

The site and its content, including text, graphics, calculators, logos and design, are owned by or licensed to Riverstone and protected by intellectual property laws. You may view and print pages for personal, non-commercial use. Any other use requires our written permission.

12Disclaimers

Content on the site, including rates, calculators and guides, is for general information only. It isn’t financial, legal or tax advice. Market rates are national averages from public sources and are not offers of credit. Calculator results are estimates.

The site is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Some states don’t allow certain warranty exclusions, so some of these may not apply to you.

13Limitation of liability

To the fullest extent the law allows, Riverstone and its affiliates, officers, employees and partners won’t be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill, arising from your use of the site or any loan or lender. Our total liability for any claim relating to the site won’t exceed [amount, e.g. $100]. Some states limit these exclusions, so they may not apply to you.

14Indemnification

You agree to defend and indemnify Riverstone against claims, losses and expenses, including reasonable attorneys’ fees, arising from your violation of these Terms or of law, or from information you submit that is false or isn’t yours to submit.

15Dispute resolution

[Insert dispute resolution terms reviewed by counsel, for example informal resolution first, then binding individual arbitration with a class-action waiver and small-claims carve-out, or courts in a named venue.]

Military Lending Act. If you are a covered borrower under the Military Lending Act, any arbitration provision does not apply to you to the extent the Act prohibits it. The CFPB explains that under the MLA a lender cannot make you agree to settle a dispute with arbitration.

16Governing law

These Terms are governed by the laws of the State of [State] and applicable federal law, without regard to conflict-of-law rules.

17Changes and termination

We may change these Terms by posting an updated version and changing the “Last updated” date. Continued use of the site after changes take effect means you accept them. We may suspend or end your access to the site at any time if you violate these Terms or misuse the service.
